CONSTITUTION AND BY-LAWS of THE RIVER FALLS GARDEN CLUB
ARTICLE I. NAME:
This Club shall be called the River Falls Garden Club, of River Falls , Wisconsin.
ARTICLE II. OBJECT:
Section I. The object of this club shall be to encourage gardening of all kinds among its members and the community.
Section 2: Other objectives shall be: 1. To elect officers, 2. To hold meetings, 3. Sponsor lectures, 4. Organize events, 5. Publish proceedings in the River Falls Journal 6. To promote the beautification of River Falls in any way it can, 7. To have open discussions by its members
ARTICLE III. MEMBERSHIP:
Section 1. Any person interested in the objects of this club and residing in or around River Falls is eligible to membership.
Section 2: The dues of membership fees shall be $10 for regular membership and $5 for senior citizens membership per year, payable with the application and at the commencement of each calendar year, January 1. Any member having dues unpaid for 2 months will automatically be dropped from the rolls.
ARTICLE IV. MEETINGS:
Section 1. The regular meeting of the club shall be held on the first Monday, February through December, except for the month of September, when it will be held on the second Monday. Such meetings may be changed from time to time by the Board of Directors for reasons which may seem to such board advisable, notice of the change being given to the membership of the club.
Notice of all meetings may be given by newsletter, through printed newspaper notices or by telephone, meeting time 7 pm, place to be arranged by the Board of Directors.
Section 2. The October meeting shall be the annual meeting for hearing reports from all officers and standing committees and for the election of new officers.
Section 3. Any regular meeting may be postponed by the president with the concurrence of the Board.
Section 4. Special meetings may be called at any time by the president with the concurrence of the Board.
ARTICLE V. OFFICERS:
Section 1. The officers shall be a President, Vice-president, Secretary and a Treasurer, their duties being such as are customary for such officers.
Section 2. The officers shall be elected by ballot at the October meeting each year.
Section 3. There shall be five directors who together with the four elective officers constitute the governing board. Their duties shall be to secure meeting place, and have general supervision over all affairs connected with the welfare of the club. Each director shall serve for a term of one year.
Section 4. Any vacancy occurring shall be filled by election at the next regular meeting for the unexpired term.
ARTICLE VI. AMENDMENTS:
Section 1. The by-laws may be amended at any regular meeting after the proposed change has been presented to the membership at a previous meeting.
Section 2. All officers shall be elected at the annual meeting of the club, held on the first Monday in October and shall take office on the following January 1.
Section 3. A nominating Committee shall be appointed by the President at the August meeting, will report nominations of offices and committees at the September meeting.
ARTICLE VII. BUSINESS:
Section 1. The President, with the advice and consent of the Board of Directors, shall appoint all necessary committees to assist in carrying on the affairs of the club.
Section 2. There shall be a program Committee to whom the Board may delegate all authority to plan and arrange all programs, select speakers and arrange for meeting places.
Section 3. There shall be a committee for each event sponsored by the club. Such committees shall have a sufficient number of members to properly care for all the details including publicity for the sale, for which said committee is responsible.
Section 4. The vice-president shall have charge of the refreshment committee and shall collect a free will offering from the guests, and turn the money over to the Treasurer.
